Echo Convert, LLC

1. Eligibility and Acceptance

1.1 Age Requirements

You must be at least 18 years of age to create and manage an account independently. By agreeing to these Terms, you represent and warrant that:

• You are at least 18 years old;
• You have the legal capacity to enter into a binding agreement;
• You are using the Service for lawful purposes only;
• All registration information you provide is accurate, complete, and current;
• If you are a parent, guardian, or custodian managing family data, you have legal authority to do so and are not subject to court orders restricting your access or data use.

1.2 Children's Privacy (COPPA and UK Children's Code Compliance)

Echo Convert, LLC complies with the Children's Online Privacy Protection Act (COPPA) in the United States and the UK Information Commissioner's Office (ICO) Age-Appropriate Design Code for users in the United Kingdom.

COPPA Compliance (US)

We do not knowingly collect personally identifiable information from children under 13 without verifiable parental consent. If you are a parent or guardian allowing a child under 13 to use the Service:

• You must provide verifiable parental consent;
• You are responsible for monitoring the child's use of the Service;
• You agree to be bound by these Terms on behalf of the child;
• Information collected from children is limited to operational necessity and is not shared with third parties for marketing or commercial purposes;
• You may request deletion of your child's information at any time.

PARENTAL RIGHTS: A parent or legal guardian may (a) request and review personal information collected from their child, (b) request deletion of their child's information at any time, and (c) opt-out of further collection or use of their child's information. To exercise these rights, contact hello@echoconvert.com from the email address associated with the child's account. If contacting from a different email, we may request additional verification (such as government-issued ID or custody documentation) to confirm parental or legal guardian status before processing the request. We will respond within 10 business days of verification.

UK Children's Code Compliance

For users under 18 in the United Kingdom, we comply with the ICO Age-Appropriate Design Code. We implement the following practices:

(1) Data Minimization & Privacy by Default: We collect only information necessary to provide the Service. We do not retain children's data longer than required. Data protection is our default setting. We do not use opt-in defaults that expose children to unnecessary data processing.

(2) No Profiling or Behavioral Tracking: We do NOT create behavioral profiles of children, use profiling for personalization, track behavior for marketing purposes, or make automated decisions affecting children based on profiling. Any processing that involves profiling requires documented parental consent and a legitimate interest assessment.

(3) Location Data: We do not collect, infer, or process location data from children, including location derived from IP addresses, device identifiers, or third-party integrations.

(4) Parental Controls & Safeguards: Account owners can restrict children's access to: (a) family messaging and communication features; (b) third-party integrations and external services; (c) shared data and family calendar visibility; (d) ability to upload content or photos. Account owners receive alerts when children attempt restricted activities.

(5) Clear, Age-Appropriate Privacy Information: We provide a separate privacy notice for children written in plain, age-appropriate language explaining: what data we collect and why; how long we keep it; who can access it; children's rights; how to contact us with questions. This notice is distinct from the full Privacy Policy.

(6) Parental Consent: Before processing any data beyond the operational minimum required to provide the Service, we obtain documented parental consent via email confirmation or account dashboard consent mechanism. Parents can withdraw consent at any time.

If you believe a child has provided us with personal information without proper parental consent, please contact us immediately at hello@echoconvert.com. We will delete such information promptly.

1.3 School/Institutional Users

If your school, institution, or organization uses YourCortX, you represent and warrant that you are authorized to bind that organization to these Terms. Organizations using the Service for educational purposes must comply with the Family Educational Rights and Privacy Act (FERPA) and all applicable data protection laws.

2. Description of Service

YourCortX is a comprehensive digital platform designed to support families with tools for coordination, communication, organization, and family management. Certain features may use automation or AI-assisted processing to help organize and coordinate household information. Features may include but are not limited to:

• Family calendar and event scheduling with multi-user synchronization;
• Task management and to-do list functionality;
• Family messaging and communication tools;
• Document management and organization;
• Medical appointment tracking and health information organization;
• Shared notes and family information sharing;
• Integration with third-party calendar and scheduling platforms;
• Notifications and reminders;
• Additional features we may add from time to time.

We reserve the right to modify, suspend, discontinue, or limit any features of the Service at any time, with or without notice, for any reason, or no reason. We are not liable for any modifications or discontinuations of the Service or any features thereof.

3. Account Registration and Security

3.1 Account Creation and Family Account Structure

To access the Service, you must create an account by providing a valid email address, creating a secure password, and providing accurate registration information. YourCortX uses a family account model where:

• One primary account owner ("Account Owner") manages the account and has full control over all family members' access, data, and features;
• The Account Owner is responsible for ensuring all added family members are authorized and comply with these Terms;
• Additional adults may be invited with full access ("Co-Owners"), with the Account Owner retaining override control;
• Children can be invited with view-only access (cannot edit or delete data) or restricted access as determined by the Account Owner;
• The Account Owner is solely responsible for verifying the legal authority of all Co-Owners to access family data and for restricting access for non-custodial parents or other unauthorized individuals.

You agree to:

• Provide accurate, complete, and current information during registration;
• Maintain and promptly update all account information to keep it accurate;
• Maintain only one primary Account unless otherwise authorized by us;
• Immediately notify us of any unauthorized access or use of your Account.

If you provide false, inaccurate, outdated, or incomplete information, or if we have reasonable grounds to believe your registration information is inaccurate or incomplete, we may suspend or terminate your Account without liability.

3.2 Custody and Legal Authority

YourCortX recognizes that families may involve complex legal structures, including separated or divorced parents, shared custody, and legal guardianship. By creating an Account, the Account Owner represents and warrants that:

• They have legal authority to make decisions regarding the minor's use of the Service (as a parent, legal guardian, or custodian with authority to do so);
• They are not subject to any court order, restraining order, or legal restriction that prohibits them from managing the Account or accessing information about any family member;
• They will not use the Service to violate any custody agreement, court order, or legal restriction;
• They are solely responsible for determining whether any Co-Owner or other family member has legal authority to access family data, and for authorizing or restricting that access accordingly;
• They understand that YourCortX implements industry-standard access controls including two-factor authentication, activity audit logs, and IP-based verification, and that use of these features to restrict unauthorized access is the Account Owner's sole responsibility.

YOURCORTX DISCLAIMS ALL LIABILITY FOR CUSTODY DISPUTES, ACCESS CONFLICTS, OR LEGAL CLAIMS ARISING FROM THE ACCOUNT OWNER'S MANAGEMENT OF FAMILY MEMBER ACCESS, EXCEPT WHERE CAUSED BY YOURCORTX'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT IN MAINTAINING ITS OWN SECURITY INFRASTRUCTURE. If you become aware of unauthorized access or a custody dispute involving your Account, contact us immediately at hello@echoconvert.com.

3.3 Account Security and Responsibility

You are solely and absolutely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You agree to:

• Choose a strong, unique password and keep it confidential;
• Log out of your Account after each session, especially on shared devices;
• Enable two-factor authentication if available;
• Notify us immediately at hello@echoconvert.com if you suspect unauthorized access.

Echo Convert, LLC is not liable for any loss or damage resulting from unauthorized access to your Account caused by your failure to secure your credentials, or from any person using your Account with or without your knowledge.

4. Subscription Plans and Billing

4.1 Service Tiers

YourCortX offers monthly and yearly paid subscription tiers. Details of available plans, features, and pricing are available on our website at www.yourcortx.com. We may modify plan features and pricing at any time.

4.2 Billing and Authorization

For paid subscriptions, you must provide valid payment information and authorize Echo Convert, LLC (or our designated payment processor) to charge your chosen payment method. You agree to:

• Provide accurate and complete payment information;
• Keep your payment information up to date;
• Authorize recurring charges for your subscription on a monthly or annual basis as selected;
• Pay all fees in U.S. dollars unless otherwise stated.

If a payment fails, we will attempt to notify you and may restrict access to paid features. We reserve the right to suspend or terminate your Account if payment is not received.

4.3 Recurring Billing and Auto-Renewal

Unless otherwise stated, all paid subscriptions have an auto-renewal feature. By subscribing, you acknowledge that:

• Your subscription will automatically renew at the end of each billing period;
• Your payment method will be charged for the renewal unless you cancel;
• Charges will be submitted without further authorization from you until you cancel.

4.4 Cancellation

You may cancel your subscription at any time through your Account settings. Cancellation takes effect at the end of the current billing cycle, and you will retain access to paid features through the end of the paid period. Cancellations made mid-cycle will not result in refunds or credits for the unused portion of your subscription.

4.5 Refunds and Refund Policy

The following subscription terms are offered:

Monthly Subscriptions: All monthly subscription charges are non-refundable, including the first billing cycle. You may cancel at any time to prevent future charges; cancellation stops subsequent billing but does not refund the current billing period.

Annual Subscriptions: Annual subscriptions include a fourteen (14) day free trial. You may cancel at any time during the trial period at no charge. If you do not cancel before the trial ends, you will be charged the full annual subscription fee, which is non-refundable.

Except as expressly stated above, all subscription charges, renewals, plan upgrades, and premium features are non-refundable. Cancellation requests can be submitted through your account settings or by contacting hello@echoconvert.com.

4.6 Price Changes

Echo Convert, LLC may modify subscription pricing at any time. We will provide at least 30 days advance written notice of any price increases via email or prominent notice within the Service. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new pricing. If you do not agree to new pricing, you may cancel your subscription prior to the change taking effect.

4.7 Taxes

Your subscription may be subject to sales tax, value-added tax (VAT), use tax, or similar taxes depending on your location. We or our payment processor will collect and remit applicable taxes. You are responsible for any taxes not collected by us.

5. User Content, Shared Data, and Medical Information

5.1 Ownership

You retain all ownership rights to any content you submit, upload, or create through the Service ("Your Content"), including text, photos, videos, documents, medical appointments, health information, and other materials. YourCortX does not claim ownership of Your Content.

5.2 Protected Health Information (PHI) and Electronic Protected Health Information (ePHI)

YourCortX is NOT a HIPAA-compliant service and does NOT support the storage of protected health information (PHI) or electronic protected health information (ePHI) as regulated by the Health Insurance Portability and Accountability Act (HIPAA), state privacy laws (including but not limited to Washington's My Health My Data Act), or similar healthcare privacy regulations.

You agree that you will NOT upload, submit, disclose, or otherwise provide to YourCortX any:

• Protected health information (PHI) as defined by HIPAA;
• Electronic protected health information (ePHI) as defined by HIPAA;
• Medical records, test results, or diagnostic information;
• Prescription information or medication lists;
• Healthcare provider information or billing records.

Basic scheduling information, such as an appointment date, time, and general label (e.g., "Dr. Smith, 3pm"), is permitted for reminder and coordination purposes and does not, by itself, constitute PHI or ePHI under this section. You remain responsible for not entering diagnostic, medication, or clinical detail into any field, including notes or free-text fields.

IMPORTANT: If you upload, submit, disclose, or otherwise provide PHI or ePHI to YourCortX in violation of this section:

• You shall bear all risk and liability associated with such disclosure;
• Echo Convert, LLC will have no liability for harms arising solely from your own decision to upload PHI or ePHI in violation of this warning. Echo Convert, LLC remains liable only for its own gross negligence or willful misconduct in maintaining its own security obligations;
• You are solely responsible for any legal consequences, penalties, or fines resulting from improper handling of regulated health information.

5.3 Medical Appointment Tracking (Non-HIPAA)

YourCortX allows families to track medical appointments, health conditions, medications, and related health information for organizational and reminder purposes only. IMPORTANT DISCLAIMER:

• YourCortX is NOT a healthcare provider and does NOT provide medical advice, diagnosis, or treatment;
• Medical information stored on YourCortX is for organizational and reminder purposes only;
• You are responsible for verifying accuracy of all medical information;
• Medical information is NOT stored with HIPAA protections and should NOT be used for compliance with healthcare regulations;
• DO NOT store complete medical records, genetic information, mental health diagnoses, or other highly sensitive health data in the Service.

By storing medical appointment information in YourCortX, you acknowledge that you have read and understand these limitations and accept full responsibility for the security and appropriateness of the information you store.

5.4 Privilege and Attorney-Client Confidentiality

YourCortX does NOT provide protection for attorney-client privileged communications. We make no representations or warranties regarding whether any information shared through the Service is protected by attorney-client privilege, work product doctrine, or any other legal privilege.

Whether information is privileged is a fact-specific legal question that depends on numerous factors, including the nature of the communication, the parties involved, and the jurisdiction. Echo Convert, LLC:

• Cannot determine whether any message or content is attorney-client privileged;
• Does not provide special protections for content marked as "privileged";
• May be compelled to disclose any information in response to valid legal process;
• Cannot be relied upon as a secure channel for attorney-client communications.

If you need to communicate with an attorney and require privilege protection, use channels specifically designed for secure attorney-client communication, not YourCortX.

5.5 License Grant

By submitting Your Content to the Service, you grant Echo Convert, LLC a worldwide, non-exclusive, royalty-free, license to use, reproduce, and display Your Content solely to provide and improve the Service for you and authorized household members. This license does not include the right to sublicense, transfer, or use Your Content for marketing or promotional purposes. This license does not give us ownership; it allows us to operate the Service effectively.

5.6 Content Standards

You agree not to submit or upload any Content that:

• Is unlawful, defamatory, harassing, abusive, threatening, fraudulent, or deceptive;
• Violates the privacy, intellectual property, or other rights of any third party;
• Contains viruses, malware, or other harmful code;
• Is spam, unsolicited advertising, or promotional material;
• Sexualizes, endangers, exploits, or harms minors in any way;
• Impersonates any person or entity;
• Contains personally identifiable information (such as social security numbers, financial account numbers, or highly sensitive health information) without appropriate safeguards.

We reserve the right to remove any User Content that violates these standards or that we determine to be harmful to the Service or its users, in our sole discretion. Removal of Content does not relieve you of liability for violations of these Terms or applicable law.

5.7 Deceased User Policy

YourCortX respects the memory of deceased users and protects family privacy in the event of a user's death. The following policies apply:

Account Suspension Upon Notification of Death

Upon receipt of valid notification of a user's death, Echo Convert, LLC will immediately:

• Suspend the deceased user's account;
• Prevent any future logins to the suspended account;
• Memorialize the account data as it existed immediately before the account was suspended;
• Notify other linked account holders of the memorial status.

Verification of Death

To report a user's death and request account suspension, family members or authorized representatives must contact Echo Convert, LLC at hello@echoconvert.com with appropriate documentation, which may include:

• Death certificate;
• Obituary or funeral service announcement;
• Other official documentation demonstrating the user's passing.

Data Retention

Upon account memorialization, the deceased user's data will be retained in accordance with our standard data retention policies. Family members linked to the account may still access the memorialized data, subject to the account access rules in place at the time of death. Echo Convert, LLC may retain memorialized data for longer periods to preserve family history and prevent identity theft.

If family members request deletion of the memorialized account, deletion will proceed in accordance with Section 6.6 (Data Handling and Account Termination), subject to multi-party consent requirements for Shared Data.

5.8 Feedback

If you provide feedback, suggestions, improvements, or recommendations about the Service ("Feedback"), you grant us an unrestricted, perpetual, irrevocable, royalty-free, worldwide license to use such Feedback without any attribution or obligation to you.

6. Data Protection and Privacy Compliance

6.1 Privacy Policy

Your use of the Service is governed by Echo Convert, LLC's Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

6.1A AI Processing and Data Usage

YourCortX may use automated systems, artificial intelligence ("AI"), and machine learning technologies to provide features such as event extraction, reminders, summaries, organization, search, and workflow assistance.

We are committed to responsible AI and privacy practices. Specifically:

• Your personal data, family data, messages, documents, and uploaded content are NOT sold to third parties.
• Your personal data is NOT used to train public or shared AI models.
• AI processing is used solely to provide, maintain, improve, and support functionality within the Service for your account and authorized household members.
• Automated outputs, summaries, reminders, categorizations, and recommendations may contain inaccuracies, omissions, or errors and should not be solely relied upon for legal, medical, financial, educational, or emergency decisions.
• You remain responsible for reviewing and verifying important information processed through the Service.

YourCortX may continue to improve its AI and automation systems over time, but we will not use your personal household data to train publicly available generative AI systems without your explicit consent.

6.2 Data Handling and Account Termination

Echo Convert, LLC is committed to protecting your family's data. We handle personal and family data according to the following principles:

• Data ownership: You own all data you upload or create in your Account;
• Data access: Only authorized Account members can access family data;
• Data retention: Upon Account deletion, we will delete your data within 90 days, unless legally required to retain it;
• Backup retention: Backup copies may be retained for up to 180 days for disaster recovery purposes;
• Violation removal: If you violate these Terms, we may access your data to identify and remove violating content;
• Law enforcement: We may disclose data if required by law, valid legal process, or to protect safety and rights.

7. Intellectual Property Rights

7.1 YourCortX Property

YourCortX, its logos, trademarks, and all original content, features, functionality, and design (excluding Your Content) are owned by Echo Convert, LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sublicense, or exploit any part of the Service without express written permission from Echo Convert, LLC.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purpose. You may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.

8. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to the Service or its systems;
• Interfere with or disrupt the operation or performance of the Service;
• Use automated tools (bots, scrapers, crawlers, scripts) to access the Service without permission;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code;
• Collect or harvest user data without authorization;
• Use the Service to send unsolicited communications or spam;
• Frame the Service or utilize similar techniques that affect the display of the Service;
• Violate any applicable local, state, national, or international law;
• Stalk, harass, or threaten any person or entity;
• Violate custody arrangements or court orders by using the Service to control access to family data.

9. Third-Party Links and Services

The Service may contain links to third-party websites, applications, and services. These links are provided for convenience only. Echo Convert, LLC does not endorse, control, or assume responsibility for the content, accuracy, privacy practices, security, or reliability of any third-party service.

Your interactions with third-party services are solely between you and the third party. YourCortX uses industry-standard OAuth authentication and encryption protocols for third-party platform integrations and is not liable for any loss or damage resulting from your use of third-party services, but Echo Convert, LLC remains liable for its own gross negligence or willful misconduct in implementing or maintaining the integration layer and authentication mechanisms. You should review each third party's terms of service and privacy policy before use.

Certain features of the Service may integrate with third-party platforms (e.g., calendar services). These integrations are subject to the third party's terms and conditions. We are not responsible for changes to third-party services or their availability, but we maintain reasonable security measures for the connection between your account and third-party services.

10. Data Breaches and Security Incident Notification

Echo Convert, LLC is committed to data security and complies with applicable data breach notification laws. In the event of a confirmed data breach or security incident affecting your personal information:

10.1 Notification Requirements

We will notify you without unreasonable delay, and in compliance with applicable law (typically within 30-60 days), via:

• Email to the address associated with your Account;
• A prominent notice on our website;
• Other methods required by applicable law.

10.2 Notification Content

Our breach notification will include:

• Description of the breach and types of data affected;
• Steps affected individuals should take;
• Our contact information for questions;
• Information about credit monitoring or identity theft protection services (where applicable).

11. Warranties and Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE, ALL CONTENT, AND ALL INFORMATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Echo Convert, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement;
• Warranties that the Service will be uninterrupted, error-free, secure, or available;
• Warranties regarding accuracy, completeness, or timeliness of content;
• Warranties that defects will be corrected.

Content provided through the Service is for informational purposes only and does not constitute legal, medical, financial, or professional advice. Always consult with a qualified professional for advice specific to your situation.

MEDICAL INFORMATION DISCLAIMER: Information stored in YourCortX is for organizational and reminder purposes only. It is NOT medical advice, and YourCortX is NOT a substitute for professional medical care. Do not rely on YourCortX for diagnosis, treatment, or medical decision-making. 12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ECHO CONVERT, LLC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS, THE SERVICE, OR YOUR USE THEREOF EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold harmless ECHO CONVERT, LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the Service;
• Your Content;
• Your violation of these Terms;
• Your violation of any applicable law or rights of another person or entity;
• Custody disputes or family law matters related to your use of the Service.

14. Termination

Echo Convert, LLC may suspend or terminate your Account and your access to the Service at any time, with or without cause, with or without notice, if we determine that:

• You have violated these Terms;
• Your conduct may harm the Service or other users;
• You have engaged in fraudulent or illegal activity;
• You have failed to pay fees owed;
• We believe your Account is being used in violation of custody arrangements or court orders.

You may terminate your Account at any time by contacting hello@echoconvert.com or using the Account deletion feature in your settings.

Upon termination, your right to use the Service ceases immediately. Echo Convert, LLC will delete your data within 90 days (unless legally required to retain it). We are not liable for deletion of your Account or data.

15. Copyright and DMCA Compliance

15.1 Copyright Respect

Echo Convert, LLC respects intellectual property rights and expects all users to do the same. We have a process for responding to claims of copyright infringement.

15.2 DMCA Notice

If you believe your copyrighted work has been infringed on the Service, send a written notice to our designated DMCA agent with the following information:

• Your electronic or physical signature or that of an authorized representative;
• Identification of the copyrighted work claimed to be infringed;
• Identification of the allegedly infringing content and information sufficient for us to locate it;
• Your name, address, telephone number, and email address;
• A statement that you have a good faith belief that the use is not authorized;
• A statement made under penalty of perjury that the above information is accurate.

16. Modifications to These Terms

Echo Convert, LLC may modify these Terms at any time. For material changes that reduce user rights or expand Echo Convert, LLC's rights (including liability limitations, data retention, or arbitration terms), Echo Convert, LLC will provide at least 30 days' advance written notice via email to your account email address. Material changes will be communicated via email or a prominent notice within the Service. The updated Terms will include a revised effective date and a summary of material changes. If you do not accept the modified Terms, you may delete your account within the 30-day notice period without penalty. Your continued use of the Service after the effective date of modifications constitutes acceptance of the updated Terms. Non-material clarifications or corrections to these Terms take effect immediately upon posting.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. However, data protection and privacy provisions shall be governed by applicable laws of the user's jurisdiction (GDPR for EU/UK users, CCPA/CPRA for California users, etc.).

17.2 Arbitration

Any dispute arising out of or relating to these Terms, the Service, or your use thereof shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall:

• Be conducted on an individual basis only;
• Take place in Wilmington, Delaware or via video conference;
• Be governed by the AAA rules in effect at the time of arbitration;
• Allow for judgment on the award in any court of competent jurisdiction.

17.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES WITH ECHO CONVERT, LLC ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-WIDE ARBITRATION, OR REPRESENTATIVE ACTION AGAINST ECHO CONVERT, LLC.

17.4 Injunctive Relief

Either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm, without waiving the right to arbitration.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Echo Convert, LLC regarding your use of the Service and supersede all prior agreements, understandings, and communications, whether oral or written.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

18.3 Waiver

Echo Convert, LLC's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

18.4 Assignment

These Terms may not be transferred or assigned by you without written consent from Echo Convert, LLC, which shall not be unreasonably withheld. Echo Convert, LLC may assign these Terms to any affiliate, successor entity, or acquirer in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets, without user consent. Upon any such assignment by Echo Convert, LLC, the assigning party shall notify affected users within 30 days and shall remain liable for performance of its obligations hereunder unless explicitly released by the assignee. Any attempt by you to assign these Terms is void.

18.5 Force Majeure

Echo Convert, LLC shall not be liable for any failure or delay in performing its obligations under these Terms when such failure or delay results from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet infrastructure failures.

18.6 Survival

The following sections shall survive termination or expiration of these Terms: Ownership and Intellectual Property Rights, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and any other sections that by their nature are intended to survive.

18.7 Electronic Communications

By using the Service, you consent to receive electronic communications from Echo Convert, LLC, including notices, agreements, and other communications. These electronic communications satisfy any legal requirement for communication to be in writing.
